Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of Seratus Pro— the point-of-sale, CRM, storefront, and business-management platform (the "Service") operated by Zedd Labs Enterprise (SSM registration no. 202603050314) ("we", "us", "our"). By creating an account, subscribing to a plan, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

• "Account" — the merchant account you register to access the Service.
• "Merchant" / "you" — the business or individual using the Service.
• "End Customer" — your own customers whose data you process through the Service (e.g. members, bookings, sales).
• "Content" — data, text, images, and other material you upload or generate through the Service.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your registration details, for keeping your login credentials secure, and for all activity under your Account. Notify us immediately of any unauthorised use.

3. Subscriptions, fees & payment

• Paid plans are billed in advance on a recurring basis (monthly or annually) at the rates shown at the time of purchase. Plan entitlements are described on our pricing page.
• Transaction and payment-processing fees, where applicable, are charged in addition to subscription fees and may be set by our payment partners.
• Unless required by law, fees are non-refundable. Downgrading or cancelling stops future renewals but does not refund the current period.
• We may change fees with reasonable prior notice; changes take effect at your next renewal.

4. Your responsibilities as a merchant

You are solely responsible for your business, your goods and services, your dealings with End Customers, and for complying with all laws that apply to you — including tax, consumer-protection, and data-protection laws. In particular, where you collect End Customer personal data through the Service (for example, when enrolling members), you are the data controller and must obtain any consents and provide any notices required by applicable law. 5. Acceptable use

You agree not to:

• use the Service for unlawful, fraudulent, or harmful activity;
• upload malware, or attempt to gain unauthorised access to the Service or its systems;
• reverse-engineer, resell, or sublicense the Service except as expressly permitted;
• interfere with the integrity or performance of the Service, or with other users' use of it.

6. Intellectual property

The Service, including its software, design, and trademarks, is owned by Zedd Labs Enterprise and its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription. You retain all rights to your Content; you grant us a licence to host and process it solely to provide and improve the Service.

7. Third-party services

The Service integrates with third parties (e.g. payment gateways, SMS and email providers, hardware). Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.

8. Availability & support

We aim to keep the Service available and secure but do not guarantee uninterrupted or error-free operation. We may perform maintenance, modify features, or suspend access where reasonably necessary.

9. Suspension & termination

You may cancel at any time from your Account settings. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us or others. On termination, your right to use the Service ends; we may delete your data after a reasonable retention period, subject to the Privacy Policy and applicable law.

10. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, or consequential losses, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your Content, your use of the Service, your dealings with End Customers, or your breach of these Terms or of applicable law.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here with a new "last updated" date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of Malaysia, and you submit to the non-exclusive jurisdiction of the Malaysian courts, without prejudice to any mandatory consumer rights in your place of residence.
